A certificate of reinstatement changes a business’s status from forfeited to active and in good standing. A forfeited status occurs when an information report filing deadline is missed or the business fails to maintain an active Kansas resident agent and registered office.

Determining How Many Reports are Needed

Reports are required every other year after the date of formation in Kansas. A reinstatement form must be submitted with the information report for each reporting year missed, limited to a maximum of one reporting year for not-for-profit corporations, and limited to a maximum of the last 10 years (5 reporting years) for all other businesses.

Reinstatement

Missing information reports must be submitted with the reinstatement form and payment. Reinstatement and report forms are specific to the legal structure of the business, so choose forms based on the legal structure of the business (corporation, limited liability company, limited partnership, limited liability partnership).
